Terms of Service

1. Acceptance of Terms

By accessing or using Dealersip.com or any Dealersip software module, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree with these terms, you must stop using Dealersip immediately.

2. Service Description

Dealersip is dealership management software that may include CRM, inventory management, website hosting, marketing automation, social media integrations, analytics, and related tools to support your dealership operations.

Oroo Information Technologies may modify, enhance, or discontinue features at any time, with or without notice, so long as such changes comply with applicable law.

3. Account Registration

To use Dealersip, you may need to create an account. You agree to provide accurate and complete information and to keep your login credentials secure. You are responsible for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that are used in violation of these terms or in a way that harms the service or other users.

4. Acceptable Use

You agree not to:

• Use Dealersip for any unlawful or fraudulent activity.
• Upload or transmit malicious code, viruses, or automated scripts that disrupt the service.
• Attempt to gain unauthorized access to servers, systems, or other user accounts.
• Reverse engineer, copy, or resell the software without written permission.
• Use the platform to send spam or misleading marketing communications.

5. Payments and Billing

Dealersip is generally provided on a subscription basis. By subscribing, you agree to pay all applicable fees according to the plan you select. Charges are typically non refundable unless required by law or specified in a separate written agreement.

Failure to pay fees when due may result in suspension or termination of your access to Dealersip.

6. Data Ownership and License

You retain ownership of the data you input into Dealersip, including leads, customer information, inventory, and website content. By using the service, you grant Oroo Information Technologies a limited license to process and store this data only as needed to provide and maintain the service.

We do not claim ownership of your dealership content, and we do not sell your personal information.

7. Third Party Integrations

Dealersip may integrate with third party services such as Google, Facebook, or other platforms to support features like ad campaigns, postings, and lead syncing. By enabling these integrations, you authorize Dealersip to interact with those services on your behalf as needed to provide the feature.

You are responsible for complying with the terms of use of any third party platforms you connect to Dealersip. You may disconnect such integrations at any time.

8. Service Availability

We aim to keep Dealersip available and functioning, but we do not guarantee uninterrupted service. Outages, maintenance, and updates may occur across our infrastructure or third party providers.

Oroo Information Technologies is not liable for losses that arise from downtime, interruptions, or external system failures that are outside our reasonable control.

9. Intellectual Property

Dealersip, including its software code, design, trademarks, and branding, is the intellectual property of Oroo Information Technologies and its licensors. You receive a limited, non exclusive license to use the software in accordance with these Terms of Service.

You may not copy, modify, distribute, or create derivative works based on Dealersip without our prior written consent.

10. Limitation of Liability

To the maximum extent permitted by law, Oroo Information Technologies is not liable for indirect, incidental, consequential, or special damages, including loss of profits, revenue, data, or business opportunities that arise from use of Dealersip.

If we are found liable for any claim, our total liability will be limited to the amount you paid for Dealersip during the twelve months prior to the event giving rise to the claim, or the minimum amount required by law if that is higher.

11. Termination

You may stop using Dealersip at any time. We may suspend or terminate your access if you violate these terms, fail to pay required fees, or misuse the service.

Upon termination, your right to use the service will end. You may request a data export prior to closure, where feasible and permitted by law.

12. Governing Law

These Terms of Service are governed by the laws of the province of Ontario, Canada, without regard to conflict of law principles. Any disputes will be handled in the courts located in Ontario, Canada, unless applicable law states otherwise.

13. Changes to These Terms

We may update these Terms of Service from time to time. When we do, we will update the date at the top of this page and may provide additional notice where required. Continued use of Dealersip after changes means that you accept the updated terms.
